End User License Agreement
This agreement is a license: it lets a company and its staff use the app. It does not transfer ownership of the app. By connecting a system or using the app, you agree to it.
Who we are
"We" means deoLabs, the trade name of DeoLabs LLC, a limited liability company formed in Washington. Mailing address: 124 55th Ave E, Fife, WA 98424. "You" means the company that uses the app and the people it allows to use it on its behalf.
The license
We give you a non-exclusive, non-transferable license to use the app for your own business for as long as you have a service agreement with us. You may let your staff and your contractors use it on your behalf.
You may not copy, resell, sublicense or rent the app, take it apart to extract its source code, or use it to build a competing product. Rules for your own business that we put into the app's configuration for you are yours; the code around them stays ours.
Ownership
We own the app: its code, design and the accounts it runs under (including the developer accounts and the deolabs.dev domain). You own your data: your records in QuickBooks, Monday and Microsoft 365, the drafts the app prepares for you, and the accounts those records live in. Nothing in this agreement gives us any right to your data beyond what the Privacy Policy describes.
If we part ways, our service agreement says how the app is handed over or how its source code is placed in escrow. If the service agreement and this page disagree, the service agreement wins.
Drafts and your decisions
The app prepares drafts: invoices created unsent and emails saved as drafts. It does not send anything itself. A person on your side reviews each draft and decides whether to send it. You are responsible for what you send, and we recommend you check every draft, especially the amounts.
Amounts are calculated by ordinary code from your records. The text of emails is written with the help of an AI model, which can be wrong. Treat the app's flags and drafts as suggestions, not as advice.
Your accounts and access
You grant the app access to your systems through your own administrator, and you can revoke that access at any time (see Disconnecting and deleting). You are responsible for who in your company can use the app and for keeping your own accounts secure.
What we promise and what we don't
We will run the app with reasonable care and fix problems we learn about. Beyond that, the app is provided "as is". We do not promise that it will always be available or free of errors, or that it fits every situation in your business. We are not responsible for what third-party services such as Intuit, Monday.com, Microsoft or OpenAI do with their own systems.
To the extent the law allows, our total liability under this agreement is limited to the fees you paid us for the app in the twelve months before the claim, and we are not liable for indirect losses such as lost profits.
Ending the license
You can stop using the app at any time by disconnecting your systems. We can end the license if you break this agreement and do not fix it within 30 days of our notice, or when the service agreement ends. When the license ends, the app's access to your systems is removed and we delete the data described in the Privacy Policy.
Governing law
This agreement is governed by the laws of the state in which we are formed (listed under "Who we are"), without regard to its conflict-of-law rules.
Changes
If we change this agreement, we update the date at the top and tell you by email before the change takes effect. Continuing to use the app after that is acceptance of the new terms.
